Welcome to Evidara.io, a software platform operated by ThynTec Software Pty Ltd (we, us, our).

By accessing our website, creating an account or using our services, you agree to these Terms and Conditions and any applicable subscription, licensing or service agreement.

Evidara.io provides software and related services for Boardroom management, Governance, Risk and Compliance (GRC), Environmental, Social and Governance (ESG), Cyber and Information Security (CIS), AI-assisted governance, reporting and enterprise integrations.

Features, availability and functionality may vary according to the customer's subscription and service agreement.

Users must provide accurate registration information, maintain the confidentiality of their credentials and use the platform lawfully.

Users must not:

• Engage in unlawful, fraudulent, abusive, discriminatory or threatening behaviour.
• Upload malicious software or attempt unauthorised access to systems or information.
• Publish hate speech, bullying, harassment, spam or unauthorised promotional material.
• Infringe intellectual property, privacy or confidentiality rights.
• Copy, reverse-engineer, resell or commercially exploit our software without authorisation, except where permitted by law.
• Interfere with the security, availability or operation of our services.

Certain services require a paid subscription or separate licence.

Fees, payment schedules, billing arrangements, renewals and cancellation conditions are specified in the applicable subscription or customer agreement.

We may suspend or cancel services for material breaches, non-payment or security risks, subject to applicable law and contractual requirements.

Any refunds or remedies will be provided in accordance with applicable agreements and Australian law.

Evidara.io, including its software, branding, designs, documentation, AI agents and associated intellectual property, belongs to ThynTec Software Pty Ltd or its licensors.

Customers retain ownership of their own data and content, subject to applicable agreements.

Users may not reproduce, modify, distribute, sublicense or commercially exploit our intellectual property without written permission, except as expressly authorised or permitted by law.

Evidara.io may provide AI-assisted summaries, analysis, recommendations, reporting, support agents and workflow automation.

AI-generated outputs may contain inaccuracies and must be reviewed by appropriately authorised personnel before being relied upon for legal, financial, regulatory, security or governance decisions.

AI assistance does not replace professional judgement, independent assurance or statutory responsibilities.

We aim to provide reliable and secure services but do not guarantee uninterrupted or error-free website or platform availability.

We may undertake maintenance, apply security patches, introduce improvements or modify features, subject to applicable customer agreements.

Where reasonably practicable, we will provide advance notice of material planned service interruptions.

Our platform may connect with third-party applications, identity verification providers, enterprise systems and regulatory services.

Third-party services may be subject to separate terms, fees, availability and privacy arrangements.

We are not responsible for third-party systems outside our reasonable control, except to the extent required by law or expressly agreed.

To the extent permitted by law, we are not liable for losses arising from misuse of the platform, inaccurate customer-supplied information, unauthorised account activity or third-party service failures outside our reasonable control.

Nothing in these Terms excludes, restricts or modifies rights or remedies that cannot lawfully be excluded, including applicable rights under the Australian Consumer Law.

Any additional liability arrangements are governed by the applicable customer agreement.

We may restrict, suspend or terminate access where reasonably necessary to address material breaches, unlawful activity, security threats or unpaid subscriptions, subject to applicable law and contractual obligations.

Customer data access, export, retention and deletion following termination will be managed according to the relevant agreement and applicable legal requirements.

These Terms are governed by the laws of the Australian Capital Territory, Australia, subject to any mandatory laws that apply.

We may update these Terms from time to time. Material changes affecting existing customers will be communicated in accordance with applicable agreements and legal requirements.
